Terms of Service

These Terms of Service ("Terms") govern your access to and use of the HaulPass website, applications, accounts, and related services (collectively, the "Services"). By creating an account, accessing, or using the Services, you agree to these Terms.

If you do not agree to these Terms, do not use the Services.

1. About HaulPass

HaulPass provides an online platform that allows users to upload, manage, and share files or submissions with other HaulPass users, with account verification and security features.

"HaulPass," "we," "us," and "our" mean the operator of the Services.

2. Eligibility

HaulPass is intended for business and professional use. You must be at least 18 years old and capable of entering into a legally binding agreement to create an account or use the Services. By using the Services, you represent and warrant that you meet these requirements.

3. Accounts and Security

You must provide accurate, current, and complete information when creating and maintaining your account. You are responsible for maintaining the confidentiality of your password, verification code, and account-access links; controlling access to your account; all activity occurring through your account; and promptly notifying HaulPass at [email protected] if you believe your account has been compromised or used without permission.

HaulPass may suspend, restrict, or terminate an account if we reasonably believe there is unauthorized use, a security risk, inaccurate information, misuse of the Services, or a violation of these Terms.

4. User Content and Sharing

"User Content" means files, submissions, documents, images, text, data, and other material you upload, submit, transmit, or share through HaulPass.

You retain ownership of your User Content. By uploading or sharing User Content, you grant HaulPass a limited, non-exclusive, worldwide, royalty-free right to host, store, reproduce, process, transmit, and display it only as necessary to operate and provide the Services; make it available to you and users you choose to share it with; maintain security, prevent abuse, and troubleshoot technical issues; and comply with law and enforce these Terms.

You represent and warrant that you own the User Content or have all rights, permissions, and authority needed to upload and share it; it does not violate privacy, confidentiality, intellectual-property, contract, or other legal rights; you have authority to select each recipient; and it does not contain malware, ransomware, harmful code, or material designed to disrupt, damage, or gain unauthorized access to systems or data.

A recipient may receive a notice that you shared content with them and may be able to access that content through the Services. HaulPass is not responsible for a sender sharing content with the wrong person or without appropriate authority.

HaulPass provides tools to collect and organize information submitted by users. HaulPass does not independently verify the authenticity, accuracy, ownership, licensing, insurance, or current status of submitted information. Users are responsible for conducting their own verification and business review before relying on any submission.

Brokers are responsible for obtaining any required consent, authorization, and legal basis before requesting, reviewing, storing, or sharing driver information and documents.

5. Prohibited Conduct

You may not use HaulPass to:

• Violate any applicable law, regulation, or third-party right
• Upload, distribute, or transmit malware, ransomware, viruses, or harmful code
• Attempt unauthorized access to accounts, systems, data, or networks
• Interfere with or disrupt the Services, servers, or security controls
• Impersonate another person or organization
• Send spam, deceptive content, fraudulent content, or unlawful material
• Upload or share content you do not have the legal right to use or disclose
• Collect information about other users without their consent
• Reverse engineer, copy, modify, sell, rent, lease, or exploit the Services except as permitted by law or these Terms
• Use the Services in a manner that could harm HaulPass, users, or third parties

6. SMS Account Notifications

By separately opting in to SMS communications during sign-up, you agree that HaulPass may send non-marketing account-related messages to the mobile number you provide, including verification codes, two-factor authentication codes, authentication links, account notices, and notices that a file or submission has been shared with you.

Message frequency may vary, with an estimated 1-30 messages per month. Message and data rates may apply. You may opt out at any time by replying STOP. Reply HELP for help or contact [email protected].

SMS consent is not required to purchase goods or services. However, opting out may prevent phone-based verification or other SMS-enabled functions.

7. Free and Future Paid Services

HaulPass may offer free Services and may offer paid features, subscriptions, or other services in the future. If HaulPass introduces paid services, we will provide applicable price, billing, renewal, cancellation, and refund terms before charging you. Additional terms will become part of these Terms when you accept them.

8. Intellectual Property

HaulPass and its associated software, design, branding, text, logos, interfaces, and other service materials are owned by HaulPass or its licensors and are protected by applicable intellectual-property laws.

Subject to these Terms, HaulPass grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for their intended business purpose. This is not a sale of the Services or intellectual-property rights. You may not use HaulPass's name, trademarks, logo, or branding without prior written permission.

9. Privacy

Our Privacy Policy explains how HaulPass collects, uses, shares, and protects information. By using the Services, you acknowledge that you have reviewed the Privacy Policy.

10. Availability and Changes

We may modify, suspend, discontinue, or update any part of the Services at any time. We will use reasonable efforts to maintain the Services, but we do not guarantee uninterrupted, error-free, secure, or always-available operation. We may perform maintenance, updates, security work, or changes that temporarily affect access.

11. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, HAULPASS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

HAULPASS DOES NOT GUARANTEE THAT FILES, SUBMISSIONS, OR OTHER USER CONTENT WILL ALWAYS BE AVAILABLE, ERROR-FREE, SECURE, OR FREE FROM LOSS. YOU ARE RESPONSIBLE FOR MAINTAINING YOUR OWN APPROPRIATE BACKUPS OF IMPORTANT CONTENT.

12. Limitation of Liability

To the maximum extent permitted by law, HaulPass and its owners, officers, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, business opportunity, goodwill, or other intangible losses arising out of or related to the Services or these Terms.

To the maximum extent permitted by law, HaulPass's total liability for any claim arising out of or related to the Services or these Terms will not exceed the greater of:

1. The amount you paid HaulPass for the Services in the 12 months before the event giving rise to the claim; or
2. One hundred U.S. dollars ($100).

Some jurisdictions do not allow certain warranty exclusions or limits of liability. In those jurisdictions, the above limitations apply only to the extent permitted by law.

13. Indemnification

You agree to defend, indemnify, and hold harmless HaulPass and its owners, officers, employees, contractors, affiliates, and service providers from and against claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from or related to:

• Your use or misuse of the Services
• Your User Content
• Your sharing of files or submissions with another user
• Your violation of these Terms
• Your violation of applicable law or another person's rights

14. Suspension and Termination

You may stop using the Services and request account deletion at any time by contacting [email protected].

HaulPass may suspend or terminate access if we reasonably believe you violated these Terms, created a security risk, used the Services unlawfully, or caused harm to HaulPass, other users, or third parties.

Sections that by their nature should continue after termination, including ownership, disclaimers, limitations of liability, indemnification, and governing law, will survive termination.

15. Governing Law

These Terms and any dispute related to the Services are governed by the laws of the Commonwealth of Kentucky, without regard to conflict-of-law rules.

Unless applicable law requires otherwise, any legal action or proceeding arising from these Terms or the Services must be brought in the state or federal courts located in Kentucky. You consent to the jurisdiction of those courts.

16. Changes to These Terms

We may update these Terms from time to time. We will post revised Terms and update the Effective Date. Your continued use of the Services after revised Terms take effect means you accept them. If a change is material, we may provide additional notice through the Services or by email when appropriate.
